Try mijuki's suggestion. If you're still having problems after that, paste your sysinfo.txt. Does this happen without WinEQ? If you havent tried, please do so. If it happens without WinEQ, then it's a problem on your system that should probably be resolved before trying to use WinEQ. If it doesn't, show me the contents of your SysInfo.txt file.
99% of the time, crashes like this one are either
a) Windows is not patched with critical updates
b) a virus or spyware present on the system are interfering with WinEQ. It might sound crazy, but a lot of spyware isnt compatible with WinEQ

Well I can run everquest without winEQ. I looked in wineq folder in EQ and its empty. I tryed the old version of win eq and get the same error message.

empty folder?
The only thing I can tell you is that your WinEQ 1.38 log shows a crash when Direct3D 9 is supposed to load. In the past this has been caused by fake d3d9.dlls such as auto-fire macros. Deleting the fake d3d9.dll fixes the problem.
Are you sure it's everquest.exe crashing and not eqgame.exe? Have you tried disabling patching in WinEQ?
