Well, I took the zip file I had downloaded and reunzipped it. I then reran the executable and this time it took much longer to install. Wouldn't you know it it works now.
No idea why the zip hosed me but I am off and running.

If you installed the nov 2008 redistributable (which extracts a bunch of files to that location), then ran DXSETUP and allowed it to complete installation, and at the end it says "Installation Complete. The components installed are now ready for use." .. then that's about it. This is what happened....

No, you do not need to download Service Pack 3. The redistributable is all you need to download. 1.
