Solved. 3rd party program called 'ATI Tray Tools' running will cause WinEQ2 to not run properly. Maybe you guys are tripping over each other.

unload 'ATI Tray Tools' and WinEQ2 runs correctly.

EQ has added a new graphics driver, EQGraphicsDX9Orig.dll , to revert back to the original dx9 library they used.
